Rivus Public Offer

This Public Offer (the “Offer”) is an official proposal by the Sole Proprietor Rivus (the “Operator”, “Administration”, “Service Provider”) to enter into an agreement on the terms set out below with any legally capable individual (the “User”, “Buyer”) by accepting this Offer.

The Offer regulates: providing access to the functionality of the closed Rivus Club based on a membership (subscription) model; the procedure for using the Rivus Platform to submit requests/orders for goods from connected sellers (suppliers).

1. Terms and definitions

Platform / Service / Website — the Rivus web service available at https://rivus.kz/, including its sections, subdomains, and interfaces.

Rivus Club / Membership / Subscription — the User’s right to access the closed sections of the Platform, including viewing prices and extended information, as well as the ability to place orders, provided an active subscription is in place.

Club Member — a User who has obtained a subscription (membership), successfully paid for it, and has an active status.

Guest — a User without an active membership; they have access to the public part of the Platform (including the product showcase without prices and part of the content).

Seller / Supplier / Vendor — a Platform partner that lists goods/offers and processes orders for its own goods.

Product — an item listed by a Seller on the Platform.

Order — an arrangement made by the User expressing the intention to purchase goods / arrange delivery / pickup within the Platform functionality.

Acceptance — full and unconditional acceptance of the Offer terms by taking the actions specified in Section 3.

2. General provisions

2.1. This Offer is a public offer in accordance with the laws of the Republic of Kazakhstan.

2.2. Acceptance of the Offer means that the User has read and agrees to all terms of the Offer, the Privacy Policy, and other documents posted on the Website.

2.3. The Operator may amend the Offer. The new version enters into force from the date of publication on the Website unless another effective date is specified.

2.4. The Rivus Platform is a curated platform. Listing of sellers/products and access to certain features may depend on moderation, membership status, and technical limitations of the MVP.

3. Subject of the Offer and acceptance

3.1. Subject of the Offer:

(A) Rivus Club subscription (membership): the Operator provides the User with access to the closed sections of the Platform for a period corresponding to the selected plan, subject to payment.

(B) Using the Platform for orders: the Platform provides an interface for selecting goods and placing an order. The specific Product is sold by the Seller (partner), who is responsible for fulfilling the order for its goods.

3.2. The User accepts the Offer by performing one or more of the following actions:

registering an account on the Platform;

paying for the subscription (membership) via the connected payment gateway;

placing an order via the Platform interface;

checking a consent box for the Offer terms (if applicable).

3.3. From the moment of acceptance, the agreement is deemed concluded.

4. Rivus Club membership (subscription) terms

4.1. Membership provides access to the closed sections of the Platform, including:

viewing prices and extended product cards;

access to the closed catalog;

the ability to place an order (if the function is available at the time of use);

access to closed content/curations (if provided).

4.2. Feature availability may depend on membership status:

Active — active subscription;

Expired — subscription period has expired, access is limited;

Paused — subscription is paused (if implemented);

Blocked — access is restricted due to violations or other grounds.

4.3. Plans, durations, and subscription fees are indicated on the membership (pricing) page and/or in the payment interface. The Operator may change prices and plan contents by publishing the current terms on the Website.

4.4. The subscription is granted for the selected period after successful payment confirmation.

4.5. In case of a technical failure resulting in a charge without providing access, the User may contact support for verification and restoration of access.

5. Payment

5.1. Membership is paid online via a connected payment gateway. The User’s payment card details are not stored by the Operator.

5.2. Payment is considered made upon confirmation of a successful transaction by the payment provider.

5.3. Payment for goods and delivery may be made:

through the Platform (if the relevant functionality is implemented);

directly to the Seller / under a scheme agreed with the Seller (possible at the MVP stage).

5.4. The Operator may introduce additional payment methods and/or change the payment provider.

6. Product orders through the Platform

6.1. The Platform enables the User to place an Order by providing required data (full name, phone, city, address, comment).

6.2. The Order is processed by the Seller for the goods it lists and/or by the Platform Administration within MVP processes.

6.3. Possible order statuses (example for MVP):

NEW (new);

IN_WORK (in processing);

SHIPPED (shipped/in transit);

DONE (completed);

CANCELED (canceled).

6.4. Fulfillment timeframes, delivery/pickup terms, product availability, and other material conditions are clarified during order processing.

6.5. The Operator may restrict order placement for Users without an active membership.

7. Returns and cancellations

7.1. Subscription (membership):

refunds for subscriptions are made in cases and under the procedure provided by the laws of the Republic of Kazakhstan and/or the payment provider’s rules, as well as the Operator’s internal rules;

in general, if access to closed features has been provided and the User has started using the service, a refund may be limited (where permitted by law).

7.2. Goods:

terms for returning goods depend on the Seller and applicable laws of the Republic of Kazakhstan;

the Operator may act as an intermediary in communications, but does not guarantee a refund if the Seller refuses on lawful grounds.

7.3. Order cancellation:

the User may request cancellation of an order before it is confirmed/shipped if such a function is provided;

the cancellation decision may depend on the order status and the Seller’s policy.

8. Rights and obligations of the parties

8.1. The User shall:

provide accurate information during registration and order placement;

comply with the Platform rules and not violate third-party rights;

not perform actions aimed at bypassing access restrictions (paywall) and/or unauthorized access;

not post illegal content or use the Platform for unlawful purposes.

8.2. The Operator shall:

provide access to the Platform functionality subject to compliance with the Offer terms;

ensure reasonable measures for data protection and security;

review User requests through support.

8.3. The Operator may:

change the Platform functionality and structure as the product develops;

moderate content and restrict access to goods/sellers;

suspend or block an account for violations;

restrict access to the Platform during maintenance.

9. Liability and limitations

9.1. The Platform is provided “as is”. The Operator does not guarantee uninterrupted operation, but takes reasonable measures to ensure availability.

9.2. The Operator is not responsible for the quality, delivery times, warranty obligations, or other characteristics of goods sold by Sellers unless explicitly stated otherwise.

9.3. The Operator is not liable for the User’s losses arising from:

providing inaccurate information;

the User’s violation of the Offer terms;

actions of third parties, including Sellers, payment services, and communication providers;

technical failures beyond the Operator’s control.

9.4. Where there are grounds, the Operator may restrict access to the Platform and/or terminate the User’s subscription (including in case of violations).

10. Personal data

10.1. Personal data processing is carried out in accordance with the Privacy Policy posted on the Website.

10.2. By accepting the Offer, the User confirms consent to personal data processing for the purpose of fulfilling this agreement.

11. Dispute resolution

11.1. The parties seek to resolve disputes through negotiations and by submitting claims.

11.2. Claims shall be sent to the Operator’s email: r.itakhunova@rivus.kz.

11.3. If no agreement is reached, the dispute shall be resolved in accordance with the laws of the Republic of Kazakhstan.

12. Final provisions

12.1. This Offer is valid indefinitely until revoked or replaced by a new version.

12.2. Invalidity of any provision does not invalidate the Offer as a whole.

12.3. The current version of the Offer is posted on the Website.
